WHEREAS, JBW IT Solutions (hereinafter referred to as the “Company”) is engaged in the business of providing digital marketing, advertising, and promotional services to its clients for the sole purpose of enhancing the visibility, outreach, and commercial success of the products and services offered by said clients;
AND WHEREAS, the Company endeavors to ensure that all advertising campaigns are conceptualized, developed, and executed in a manner that is ethical, professional, and compliant with applicable laws and industry standards;
NOW, THEREFORE, the Company hereby issues this Disclaimer Notice to formally notify its clients, stakeholders, and the general public of the following terms and conditions governing its scope of services and limitations of liability:
LIMITATION OF LIABILITY
- The Company shall not, under any circumstances, be held responsible or liable for the quality, authenticity, legality, merchantability, fitness for a particular purpose, or timely delivery of any product or service offered, sold, or promoted by its clients through the Company’s digital marketing and advertising platforms.
- The Company expressly disclaims any and all liability arising from defects, deficiencies, inaccuracies, or shortcomings in the products or services advertised by its clients, whether such issues arise before, during, or after the execution of the marketing campaign.
CLIENT RESPONSIBILITY
- Each client shall bear sole and exclusive responsibility for the products and services they offer, including but not limited to their design, manufacture, distribution, quality assurance, legal compliance, and customer service.
- Any and all disputes, claims, grievances, or controversies arising between the client and their customers, consumers, or third parties shall be resolved solely by the client, without any involvement or liability on the part of the Company.
- The client shall indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with such disputes, claims, or controversies.
NO ENDORSEMENT OR WARRANTY
The Company’s provision of digital marketing and advertising services shall not be construed as an endorsement, certification, or guarantee of the products or services offered by its clients. The Company does not warrant or represent the accuracy, completeness, reliability, or legality of any information, claims, or representations made by its clients in connection with their offerings.
GOVERNING LAW AND DISPUTE RESOLUTION
This Disclaimer Notice shall be governed by and construed in accordance with the laws of laws of Delhi, India. Any disputes, claims, or legal proceedings arising out of or in relation to this Disclaimer Notice shall be subject to resolution through Negotiation, Mediation, Arbitration, Courts of Competent Jurisdiction.
ENTIRE AGREEMENT
This Disclaimer Notice constitutes the entire understanding and agreement between the Company and its clients with respect to the subject matter herein and supersedes all prior, contemporaneous, or subsequent representations, communications, or agreements, whether oral or written.
AMENDMENTS AND MODIFICATIONS
The Company reserves the right to amend, revise, or update this Disclaimer Notice at its sole discretion and without prior notice. Any such modifications shall become effective immediately upon publication on the Company’s official website or upon written notification to the clients.
By engaging the services of JBW IT Solutions, each client acknowledges that they have read, understood, and voluntarily agreed to be bound by the terms and conditions set forth in this Disclaimer Notice.
